Terms of service

Effective 22 October 2026

eBillStack is a product of Vicam Consulting LLC (“we”, “us”).

1. Acceptance of terms

By creating an account or using eBillStack (“the Service”), you agree to these terms. If you use the Service for a business, you agree on its behalf. If you don’t agree, don’t use the Service. These terms apply however you use it: the web app, the client portal, the REST API or the MCP server.

2. The Service

eBillStack is software for tracking time, invoicing clients and working out what your people are owed. It includes timers and weekly timesheets, time approval, invoices, estimates, credit notes, expenses, supplier bills, pay runs and pay statements, a client portal, reports, a REST API, an MCP server, webhooks, import from Elorus and CSV export.

3. Accounts and workspaces

  • You must give accurate information when you create an account, and you must be at least 18.
  • You’re responsible for keeping your password, two-factor codes and API tokens secure, and for everything done with them.
  • Your data lives in a workspace. The workspace’s Owner controls its plan, its members and their roles, and its settings.
  • You’re responsible for the people you invite to your workspace and the client contacts you invite to the client portal.
  • Tell us right away at hello@ebillstack.com if you think someone has used your account without permission.

4. Plans and billing

  • Each workspace is on the Free plan or the Paid plan. What each plan includes and costs is on our pricing page. Every feature is on both plans.
  • Prices are in US dollars and exclude tax. US sales tax is added where it applies.
  • The Paid plan is billed in advance, monthly or yearly, through Stripe. You pay by the methods Stripe offers at checkout.
  • When you add people on the Paid plan, the prorated difference is charged right away. When people leave, the lower amount starts on your next bill.
  • You can cancel at any time in the billing portal (Settings → Plan → Manage billing). Cancellation takes effect at the end of the period you’ve paid for. You keep your data, and actions over the Free limits are blocked until you upgrade again or reduce your usage.
  • We don’t refund partial billing periods, except where the law requires it.
  • We’ll give you at least 30 days’ notice by email before a price change applies to you.

5. Payments and money

eBillStack never holds or moves money for you or your people.

  • Pay. Pay runs work out what each person is owed from the hours, rates and adjustments in your workspace, and produce statements. You pay your people outside eBillStack and can record those payments in it. eBillStack isn’t a payroll service: it doesn’t withhold or pay taxes, and it doesn’t file anything for you. You’re responsible for paying your people correctly and on time, and for checking the amounts before you do.
  • Invoices. You set the prices, taxes and terms on your invoices, and you’re responsible for them.
  • Pay online. If you turn on Pay online, your clients pay your invoices through Stripe Checkout on your own Stripe account. The money goes to your Stripe account. You’re the merchant; eBillStack isn’t a party to the payment and never receives the funds. Your use of Stripe is governed by your agreement with Stripe, and Stripe’s fees apply. Refunds and disputes are between you, your client and Stripe. eBillStack records the payments it’s told about against your invoices.

6. Your data

You own the data you put into eBillStack. You give us a limited licence to store, process and send it only to provide the Service to you, for example to produce PDFs, send the emails you ask us to send and deliver your webhooks. We don’t use your data for anything else.

You can export your data at any time, on any plan.

When you import from Elorus, you give us your Elorus API key so we can read your Elorus account. We only read from it; nothing in Elorus changes. You can remove the key at any time. You must have the right to import the data you bring in.

7. Acceptable use

You agree not to:

  • Use the Service for anything unlawful, fraudulent or harmful, including sending invoices for work that wasn’t done.
  • Upload content you don’t have the right to share, or content that is malicious.
  • Impersonate any person or business, or misrepresent your connection to one.
  • Try to get into other people’s accounts or workspaces, or into data you aren’t allowed to see.
  • Interfere with or disrupt the Service, or probe or test it for weaknesses without our written permission.
  • Go around rate limits, or use the API in a way that degrades the Service for others.

8. API, MCP and webhooks

  • API tokens act as you. Each token belongs to one person in one workspace, has the scopes you choose and never more than your role allows. Keep tokens out of client-side code and public repositories.
  • You’re responsible for everything done with your tokens, including by AI assistants and other tools you connect to the MCP server or the API.
  • We may revoke a token that has been exposed or is used against these terms.
  • The API and MCP server have rate limits. Sustained abuse may lead to API access being restricted.
  • When you add a webhook endpoint, data about your invoices, time and pay runs is sent to the URL you give. You’re responsible for that endpoint and for how the data is handled there.

9. Availability

We work to keep the Service available but don’t promise it will be uninterrupted. We may pause it for maintenance or updates, or because of events outside our control. We’ll try to give notice of planned downtime.

10. Disclaimer and limitation of liability

The Service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties not stated in these terms.

To the fullest extent the law allows, we aren’t liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim arising from these terms or the Service is limited to the amount you paid us in the 12 months before the claim.

11. Ending your account

You can stop using the Service at any time. To cancel the Paid plan, see section 4. To have your account or workspace deleted, email us.

We may suspend or end your access if you break these terms or put other users or the Service at risk. Your right to use the Service then ends. Unless the law prevents it, we’ll keep your workspace data available for a reasonable time so you can export it.

12. Changes to these terms

We may update these terms. We’ll tell you about material changes by email or in the app at least 30 days before they take effect. If you keep using the Service after that, you accept the updated terms.

13. Governing law

These terms are governed by the laws of the State of Washington, without regard to its conflict of law rules. We’ll try to settle any dispute with you in good faith first. If that fails, you agree that the state and federal courts in the State of Washington have exclusive jurisdiction.
